2024 audit going concern

EY signed an unmodified audit opinion on 20 August 2025 with a separate material-uncertainty-related-to-going-concern section. Directors forecasts relied on revenue/retention assumptions and mitigation of downside cash shortfalls; note 2 retained the going-concern basis. This was disclosed before the later Deel acquisition and is not a present finding of insolvency.

2024 group financials

Pre-acquisition 2024 consolidated revenue was GBP 12.404 million (2023: 14.882 million), gross profit GBP 5.363 million, post-tax loss GBP 13.953 million and comprehensive loss GBP 12.616 million after translation gains. December cash was GBP 15.824 million and net assets GBP 6.535 million. Operating cash outflow was GBP 10.035 million. Revenue policy treats payroll costs as agent arrangements, so this is not gross employee-payroll throughput.

Historical Omnipresent group, before Deel acquisition; not current Deel cash, financial performance or service quality. Figures are in thousands in the filing and converted to millions here.

2025 cost reduction

The August 2025 filing describes a fourth workforce reduction decided in June 2025, with approximately GBP 400,000 monthly cost reductions from July. Downside scenarios included weaker retention and non-receipt of roughly GBP 1 million R&D tax credits. These pre-acquisition forecasts are not evidence of current workforce size or later Deel integration results.

Acquisition

Deel documents its acquisition of Omnipresent and migration of its customers and workers. Retain Omnipresent as a historical acquired brand linked to Deel; do not treat its old standalone offer as current.

Benefit continuity

Transition guidance promises preservation where applicable and equivalent replacement plans when an existing benefit cannot continue. Individual benefit charges may change.

Contract stages

The initial platform migration preserves the Omnipresent MSA and existing worker contracts. The later employing-entity transition can require a new employment agreement; these are distinct stages.

Current company identity

Omnipresent Group Limited (12327661) remains active, incorporated 21 November 2019. Latest accounts are to December 2024; December 2025 accounts are due 30 September 2026, not yet overdue at capture. Alexandre Bouaziz is recorded as exercising significant influence/control from 30 September 2025; the register does not state a shareholding percentage for that entry.

Current review profile status

Live Trustpilot profile on 15 September 2026 says new reviews are closed because the company website has closed, shows 412 reviews and zero in the last twelve months. Cached older search results instead show a warning about misleading display of Trustpilot content and a hidden rating. Preserve that as historical platform-warning evidence, not a current notice or proof that customer reviews were fabricated.

Delivery transition

The newer transition guide distinguishes workers employed by Omnipresent entities from workers at third-party local providers. Omnipresent-entity workers need not automatically transfer; eligible partner-held workers may be rehired by Deel.

Deposit transition

Deel says existing Omnipresent or partner deposits transfer without a second deposit. Applicable refund conditions are not established by this migration promise.

Internal employment duplicate scope

The May 2025 Trustpilot internal-tool dismissal allegation closely matches a Glassdoor account labelled HR support specialist. It is retained as one apparent internal-employment issue, not a second independent customer case. Omnipresent response invokes gross-misconduct/local-law policies without disclosing details. No court determination or independent substantiation was located.

Reviewer identity, relationship, applicable jurisdiction and legal outcome are unverified. Matching public text is evidence of duplication, not independent corroboration.

Legacy pricing

Business migration guidance says legacy pricing and billing terms remain, subject to communicated changes. This is customer-transition guidance, not a new standalone Omnipresent offer.

Material customer followup

Separate searches did not establish independent resolution of Greek tax-form delay, pension-payment/contribution complaints or expense/FX visibility issues. Provider replies acknowledge several issues; in the German document-signing account the provider says the fault was fixed, but the reviewer did not confirm it. Positive support/onboarding and timely-pay accounts remain retained alongside the criticism.

All 51 captured accounts predate acquisition. Country-specific positive and negative reports cannot be generalized to another jurisdiction or current Deel service. Provider replies do not alone prove resolution.

Migration security

Migration guidance describes encrypted transfers, Deel security controls and recommends two-factor authentication. These statements do not replace a customer-specific processing agreement or control audit.

Pay date ambiguity

The transition guide says pay dates may change for the receiving Deel entity, while its FAQ says the existing schedule continues. The worker guide likewise contains qualified timing changes and a no-change FAQ. Confirm the applicable payroll calendar.

Platform migration

Worker guidance moves expenses, leave and payroll access to Deel, with historical records appearing gradually. Previously untracked leave needs manual entry; business guidance says HRIS integrations may require re-integration.

Support handover

Business guidance describes an Omnipresent-to-Deel CSM handover and Deel in-platform support. Actual handover completion and resolution performance require account-specific evidence.

Transition deadline

The guide sets a quote-acceptance deadline for partner-held workers and says non-acceptance can move employment outside the Deel platform to the existing provider. The displayed 10 March deadline lacks a year; it must not be presented as a current instruction.
